PLP TERMS AND CONDITIONS – GREENFLY +ENGAGE

These Terms and Conditions shall constitute the terms of your delivery of data or information submitted by or on your behalf and any content to include videos and photos (“Content”) created by you and uploaded to the Greenfly +Engage Service (“Platform”) for inclusion by IMG Media Limited (“IMG”) in Premier League Football and/or Leagues OpCo Limited (a group company of Women's Super League Football Limited, "WSL") programming (“Programme”), which IMG proposes but does not undertake to broadcast, exhibit and/or otherwise exploit.

  1. You hereby irrevocably:

(i) agree and consent to provide the Content and to the Content being broadcasted – including but not limited to use on broadcast television, digital platforms, and social media channels – exhibited and/or otherwise exploited in the Programme;

(ii) agree that all intellectual property regarding the Content shall belong to IMG (for onwards assignment to The Football Association Premier League Limited (“FAPL”) and/or Women’s Professional Leagues Limited (“WSL”) where IMG deems necessary). To the extent that such intellectual property rights, title or interests shall or do not vest automatically in and with either IMG or FAPL or WSL, you irrevocably and with full title guarantee assign to IMG (for onwards assignment to FAPL and/or WSL where IMG deems necessary): (a) all such rights, title and interests including the entire copyright and all other proprietary rights, title and interests of any kind and nature whatsoever in the products of the Content; and (b) all such rights, title and interests including the entire copyright and all other proprietary rights, title and interests of any kind and nature whatsoever in the products of any future Content (by way of an assignment of future copyright pursuant to section 91(2) of the Copyright Designs & Patents Act 1988 (the “Act”)), in relation to all media (whether now known or hereafter becoming known), together with the right to take proceedings and recover damages and obtain all other remedies for past infringements in respect of them throughout the Universe for the full period of copyright (and of any other rights) and all revivals, renewals, extensions and novations of them thereafter (so far as possible) in perpetuity together with the right to exploit the same in any manner and through any media and in any territory as IMG or FAPL or WSL may, in its absolute discretion, decide;

(iii) hereby waive all Moral Rights (as defined in Chapter IV of Part I of the Act) in or in relation to the products of the Content as conferred by sections 77–84 of the Act and all other moral and author’s rights of a similar nature arising out of or conferred by similar legislation now or hereafter existing in any territory throughout the world;

(iv) grant IMG the right to reproduce your name and photograph by all means and in all media throughout the world and perpetuity for the purposes of advertising and publicity; and

(v) grant IMG the right to edit, copy, add to, take from, adapt or translate the Content as IMG sees fit and, in respect of the Content, you irrevocably waive the benefits of and agree not to assert any provision of law known as “moral rights” or any similar laws of any jurisdiction.

  1. You warrant and undertake to IMG that: (a) you are fully entitled to give the Content and all consents and grants listed above to IMG; (b) nothing in the Content (whether by way of inflection or gesture or otherwise) will infringe the copyright or any other right of any person, breach any contract or duty of confidence, constitute a contempt of court, be defamatory or be calculated to bring any broadcaster into disrepute; and (c) all facts expressed by you in the Content are, to the best of your knowledge and belief, true and insofar as the Content contains any opinions, these opinions are your own and are genuinely and truly held by you.

  2. This agreement may be freely assigned or licensed by IMG in full or in part. This agreement shall be governed by and construed in accordance with English law, and each party irrevocably agrees to submit to the exclusive jurisdiction of the English courts in respect of any claim, dispute or matter arising under this agreement.

  3. Any Content featuring a child or young person under the age of 18 must be submitted either by a parent or legal guardian, or by the child with verifiable parental or guardian consent.

i. Content must be submitted exclusively through the Greenfly platform. Submissions made through any other platform, including those operated by IMG, FAPL, WSL or the Premier League, are not permitted.

ii. Where Content features a minor, you confirm that:

(a) parental or guardian consent has been obtained before submission;

(b) the consenting adult has been informed of the purpose, intended usage, and duration of use of the Content; and

(c) the minor is legally permitted to appear on the Platform and in any resulting media under applicable law.

iii. The Content may include the image of the minor, which is considered personally identifying information. You must not include any additional identifying details relating to the minor beyond their first name and general location (e.g. town or city). To the best of your knowledge, the Content must not show school uniforms, house numbers, signage, or other identifiable features that could reasonably be used to determine the minor’s full name, home, school, or regular location.

i. Any Content which, to the reasonable knowledge of IMG or its representatives, contains identifying markers as described in clause 5.4 will not be eligible for use. You acknowledge that despite reasonable review procedures, IMG cannot guarantee that all such markers will be identified or excluded.

iv. You acknowledge and accept that all Content submitted will be subject to manual review by IMG or its representatives, and that submission does not guarantee inclusion in any Programme or other media.

v. For the purposes of these Terms and Conditions, “verifiable consent” means clearly recorded and auditable permission granted by a parent or legal guardian. This may include a tick-box confirmation during upload, direct submission by the parent, or a signed consent form as required.

Greenfly Terms of Service

1. Your Acceptance

  1. By uploading any content to this website (the “Site”), which is powered by Greenfly, Inc. (collectively, “Greenfly” or “we” or “us” or “our”) , you signify your agreement to these terms and conditions (the “Terms of Use” or “Terms”), incorporated herein by reference. We advise you to store and/or print a copy of these Terms and keep them for your reference. If you do not agree to any of these terms, please do not upload Content to the Site.
  2. Greenfly and its licensors and service providers reserve and shall retain the entire right, title and interest in and to the Site, including all copyrights, trademarks and other intellectual property rights therein or relating thereto, except as expressly granted to you under these Terms.
  3. The Site may contain links to third party websites that are not owned or controlled by Greenfly. Greenfly has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites. In addition, Greenfly will not and cannot censor or edit the content of any third-party site.

2. Content and Conduct

  1. For purposes of these Terms, “Content” means the text, software, scripts, graphics, photos, sounds, music, videos, audiovisual combinations, interactive features, works of authorship of any kind, and information or other materials that are uploaded to the Site.
  2. You understand that Greenfly does not guarantee any confidentiality with respect to any Content you submit.
  3. You shall be solely responsible for your own Content and the consequences of submitting and publishing your Content on the Site. You affirm, represent, and warrant that you own or have the necessary licenses, rights, consents, and permissions to publish Content you submit. By making any Content available through the Site, you grant to Greenfly a nonexclusive, perpetual, irrevocable, transferable, fully sublicensable through multiple tiers (including to Greenfly’s customers), worldwide, royalty-free license to use, copy, modify, create derivative works based upon, publicly display, publicly perform, and distribute your Content for any purpose.
  4. You will not submit any Content to the Service that is (i) false, inaccurate, misleading, defamatory, or libelous or (ii) obscene, hateful, threatening, pornographic, or that contains nudity or graphic or gratuitous violence; (iii) that will infringe, misappropriate, or violate a third party's intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation; or (iv) that contains images of any other person unless you have their consent.
  5. By submitting Content to Greenfly, you hereby irrevocably waive any and all rights of publicity or moral rights you may have in that Content, including your association with that Content, your authorship and your appearance, words, or other substance of that Content.
  6. You further agree that Content you submit to the Site will not contain third party copyrighted material, or material that is subject to other third party proprietary rights, unless you have permission from the rightful owner of the material or you are otherwise legally entitled to post the material and to grant Greenfly all of the license rights granted herein.
  7. Greenfly does not monitor any Content you upload to the Site and does not endorse any Content submitted to the Site by any user or other licensor, or any opinion, recommendation, or advice expressed therein, and Greenfly expressly disclaims any and all liability in connection with Content.
  8. Greenfly reserves the right to remove any and all Content and block your access to the Site for any reason and without prior notice.

3. Warranty Disclaimer

YOU AGREE THAT YOUR USE OF THE SITE SHALL BE AT YOUR SOLE RISK. THE SITE IS PROVIDED “AS IS” WITH ALL FAULTS AND DEFECTS WITHOUT WARRANTY OF ANY KIND.

TO THE FULLEST EXTENT PERMITTED BY LAW, GREENFLY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SITE (AND YOUR USE THEREOF). GREENFLY MAKES NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SITE CONTENT OR THE CONTENT OF ANY SITES LINKED TO FROM THE SITE.

4. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION IN NO EVENT SHALL GREENFLY, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER RESULTING FROM YOUR USE OF THE SITE. YOU SPECIFICALLY ACKNOWLEDGE THAT GREENFLY SHALL NOT BE LIABLE FOR CONTENT OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY AND THAT THE RISK OF HARM OR DAMAGE FROM THE FOREGOING RESTS ENTIRELY WITH YOU.

TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION, IN NO EVENT WILL THE TOTAL LIABILITY OF GREENFLY, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR FROM THE USE OF OR INABILITY TO USE THE SITE OR CONTENT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). THE EXCLUSIONS AND LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN GREENFLY AND YOU.

The Service is controlled and offered by Greenfly from its or its service provider's facilities in the United States of America. Greenfly makes no representations that the Service is appropriate or available for use in other locations. Those who access or use the Service from other jurisdictions do so at their own volition and are responsible for compliance with local law.

5. Indemnity

To the extent permitted by applicable law, you agree to defend, indemnify and hold harmless Greenfly, its parent corporation, officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Site; (ii) your violation of any term of these Terms of Use; (iii) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your Content caused damage to a third party. This defense and indemnification obligation will survive these Terms of Use and your use of the Site.

6. Ability to Accept Terms of Use

You affirm that you are either more than 18 years of age, or an emancipated minor, or possess legal parental or guardian consent, and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms of Use, and to abide by and comply with these Terms of Use. In any case, you affirm that you are over the age of 13, as the Site is not intended for children under 13. If you are under 13 years of age, then please do not use the Site. 7. General

These Terms of Use, and any rights and licenses granted hereunder, may not be transferred or assigned by you (including by change of control or operation of law), but may be assigned by Greenfly without restriction. You agree that: (i) the Site shall be deemed solely based in California; and (ii) the Site shall be deemed a passive website that does not give rise to personal jurisdiction over Greenfly, either specific or general, in jurisdictions other than California. These Terms of Use shall be governed by the internal substantive laws of the State of California, without respect to its conflict of laws principles. Any claim or dispute between you and Greenfly that arises in whole or in part from the Site or our use of Content shall be decided exclusively by a court of competent jurisdiction located in Los Angeles, California. These Terms of Use and any other legal notices published by Greenfly on the Site, shall constitute the entire agreement between you and Greenfly concerning the Site. If any provision of these Terms of Use is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms of Use, which shall remain in full force and effect. No waiver of any term of this these Terms of Use shall be deemed a further or continuing waiver of such term or any other term, and Greenfly's failure to assert any right or provision under these Terms of Use shall not constitute a waiver of such right or provision. Greenfly reserves the right to amend these Terms of Use at any time and without notice, and it is your responsibility to review these Terms of Use for any changes, except that if we make any material changes to these Terms of Use, including any change that we propose that will have retroactive effect, we'll notify you of those changes by posting them on the Site and we'll update the “Last Updated” date above to indicate when those changes were made. If you do not agree with the modifications to the Terms of Use, then please do not access or use the Site or upload any Content. If any provision or part-provision of these Terms are or become invalid, illegal or unenforceable, it shall be deemed modified to the minimum extent necessary to make it valid, legal and enforceable. If such modification is not possible, the relevant provision or part-provision shall be deemed deleted. Any modification to or deletion of a provision or part-provision under this clause shall not affect the validity and enforceability of the rest of these Terms. YOU AND GREENFLY AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE SITE MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.

PLP TERMS AND CONDITIONS – GREENFLY +ENGAGE

These Terms and Conditions shall constitute the terms of your delivery of data or information submitted by or on your behalf and any content to include videos and photos (“Content”) created by you and uploaded to the Greenfly +Engage Service (“Platform”) for inclusion by IMG Media Limited (“IMG”) in Premier League Football and/or Leagues OpCo Limited (a group company of Women's Super League Football Limited, "WSL") programming (“Programme”), which IMG proposes but does not undertake to broadcast, exhibit and/or otherwise exploit.

  1. You hereby irrevocably:

(i) agree and consent to provide the Content and to the Content being broadcasted – including but not limited to use on broadcast television, digital platforms, and social media channels – exhibited and/or otherwise exploited in the Programme;

(ii) agree that all intellectual property regarding the Content shall belong to IMG (for onwards assignment to The Football Association Premier League Limited (“FAPL”) and/or Women’s Professional Leagues Limited (“WSL”) where IMG deems necessary). To the extent that such intellectual property rights, title or interests shall or do not vest automatically in and with either IMG or FAPL or WSL, you irrevocably and with full title guarantee assign to IMG (for onwards assignment to FAPL and/or WSL where IMG deems necessary): (a) all such rights, title and interests including the entire copyright and all other proprietary rights, title and interests of any kind and nature whatsoever in the products of the Content; and (b) all such rights, title and interests including the entire copyright and all other proprietary rights, title and interests of any kind and nature whatsoever in the products of any future Content (by way of an assignment of future copyright pursuant to section 91(2) of the Copyright Designs & Patents Act 1988 (the “Act”)), in relation to all media (whether now known or hereafter becoming known), together with the right to take proceedings and recover damages and obtain all other remedies for past infringements in respect of them throughout the Universe for the full period of copyright (and of any other rights) and all revivals, renewals, extensions and novations of them thereafter (so far as possible) in perpetuity together with the right to exploit the same in any manner and through any media and in any territory as IMG or FAPL or WSL may, in its absolute discretion, decide;

(iii) hereby waive all Moral Rights (as defined in Chapter IV of Part I of the Act) in or in relation to the products of the Content as conferred by sections 77–84 of the Act and all other moral and author’s rights of a similar nature arising out of or conferred by similar legislation now or hereafter existing in any territory throughout the world;

(iv) grant IMG the right to reproduce your name and photograph by all means and in all media throughout the world and perpetuity for the purposes of advertising and publicity; and

(v) grant IMG the right to edit, copy, add to, take from, adapt or translate the Content as IMG sees fit and, in respect of the Content, you irrevocably waive the benefits of and agree not to assert any provision of law known as “moral rights” or any similar laws of any jurisdiction.

  1. You warrant and undertake to IMG that: (a) you are fully entitled to give the Content and all consents and grants listed above to IMG; (b) nothing in the Content (whether by way of inflection or gesture or otherwise) will infringe the copyright or any other right of any person, breach any contract or duty of confidence, constitute a contempt of court, be defamatory or be calculated to bring any broadcaster into disrepute; and (c) all facts expressed by you in the Content are, to the best of your knowledge and belief, true and insofar as the Content contains any opinions, these opinions are your own and are genuinely and truly held by you.

  2. This agreement may be freely assigned or licensed by IMG in full or in part. This agreement shall be governed by and construed in accordance with English law, and each party irrevocably agrees to submit to the exclusive jurisdiction of the English courts in respect of any claim, dispute or matter arising under this agreement.

  3. Any Content featuring a child or young person under the age of 18 must be submitted either by a parent or legal guardian, or by the child with verifiable parental or guardian consent.

i. Content must be submitted exclusively through the Greenfly platform. Submissions made through any other platform, including those operated by IMG, FAPL, WSL or the Premier League, are not permitted.

ii. Where Content features a minor, you confirm that:

(a) parental or guardian consent has been obtained before submission;

(b) the consenting adult has been informed of the purpose, intended usage, and duration of use of the Content; and

(c) the minor is legally permitted to appear on the Platform and in any resulting media under applicable law.

iii. The Content may include the image of the minor, which is considered personally identifying information. You must not include any additional identifying details relating to the minor beyond their first name and general location (e.g. town or city). To the best of your knowledge, the Content must not show school uniforms, house numbers, signage, or other identifiable features that could reasonably be used to determine the minor’s full name, home, school, or regular location.

i. Any Content which, to the reasonable knowledge of IMG or its representatives, contains identifying markers as described in clause 5.4 will not be eligible for use. You acknowledge that despite reasonable review procedures, IMG cannot guarantee that all such markers will be identified or excluded.

iv. You acknowledge and accept that all Content submitted will be subject to manual review by IMG or its representatives, and that submission does not guarantee inclusion in any Programme or other media.

v. For the purposes of these Terms and Conditions, “verifiable consent” means clearly recorded and auditable permission granted by a parent or legal guardian. This may include a tick-box confirmation during upload, direct submission by the parent, or a signed consent form as required.

PLP TERMS AND CONDITIONS – GREENFLY +ENGAGE

These Terms and Conditions shall constitute the terms of your delivery of data or information submitted by or on your behalf and any content to include videos and photos (“Content”) created by you and uploaded to the Greenfly +Engage Service (“Platform”) for inclusion by IMG Media Limited (“IMG”) in Premier League Football and/or Leagues OpCo Limited (a group company of Women's Super League Football Limited, "WSL") programming (“Programme”), which IMG proposes but does not undertake to broadcast, exhibit and/or otherwise exploit.

  1. You hereby irrevocably:

(i) agree and consent to provide the Content and to the Content being broadcasted – including but not limited to use on broadcast television, digital platforms, and social media channels – exhibited and/or otherwise exploited in the Programme;

(ii) agree that all intellectual property regarding the Content shall belong to IMG (for onwards assignment to The Football Association Premier League Limited (“FAPL”) and/or Women’s Professional Leagues Limited (“WSL”) where IMG deems necessary). To the extent that such intellectual property rights, title or interests shall or do not vest automatically in and with either IMG or FAPL or WSL, you irrevocably and with full title guarantee assign to IMG (for onwards assignment to FAPL and/or WSL where IMG deems necessary): (a) all such rights, title and interests including the entire copyright and all other proprietary rights, title and interests of any kind and nature whatsoever in the products of the Content; and (b) all such rights, title and interests including the entire copyright and all other proprietary rights, title and interests of any kind and nature whatsoever in the products of any future Content (by way of an assignment of future copyright pursuant to section 91(2) of the Copyright Designs & Patents Act 1988 (the “Act”)), in relation to all media (whether now known or hereafter becoming known), together with the right to take proceedings and recover damages and obtain all other remedies for past infringements in respect of them throughout the Universe for the full period of copyright (and of any other rights) and all revivals, renewals, extensions and novations of them thereafter (so far as possible) in perpetuity together with the right to exploit the same in any manner and through any media and in any territory as IMG or FAPL or WSL may, in its absolute discretion, decide;

(iii) hereby waive all Moral Rights (as defined in Chapter IV of Part I of the Act) in or in relation to the products of the Content as conferred by sections 77–84 of the Act and all other moral and author’s rights of a similar nature arising out of or conferred by similar legislation now or hereafter existing in any territory throughout the world;

(iv) grant IMG the right to reproduce your name and photograph by all means and in all media throughout the world and perpetuity for the purposes of advertising and publicity; and

(v) grant IMG the right to edit, copy, add to, take from, adapt or translate the Content as IMG sees fit and, in respect of the Content, you irrevocably waive the benefits of and agree not to assert any provision of law known as “moral rights” or any similar laws of any jurisdiction.

  1. You warrant and undertake to IMG that: (a) you are fully entitled to give the Content and all consents and grants listed above to IMG; (b) nothing in the Content (whether by way of inflection or gesture or otherwise) will infringe the copyright or any other right of any person, breach any contract or duty of confidence, constitute a contempt of court, be defamatory or be calculated to bring any broadcaster into disrepute; and (c) all facts expressed by you in the Content are, to the best of your knowledge and belief, true and insofar as the Content contains any opinions, these opinions are your own and are genuinely and truly held by you.

  2. This agreement may be freely assigned or licensed by IMG in full or in part. This agreement shall be governed by and construed in accordance with English law, and each party irrevocably agrees to submit to the exclusive jurisdiction of the English courts in respect of any claim, dispute or matter arising under this agreement.

  3. Any Content featuring a child or young person under the age of 18 must be submitted either by a parent or legal guardian, or by the child with verifiable parental or guardian consent.

i. Content must be submitted exclusively through the Greenfly platform. Submissions made through any other platform, including those operated by IMG, FAPL, WSL or the Premier League, are not permitted.

ii. Where Content features a minor, you confirm that:

(a) parental or guardian consent has been obtained before submission;

(b) the consenting adult has been informed of the purpose, intended usage, and duration of use of the Content; and

(c) the minor is legally permitted to appear on the Platform and in any resulting media under applicable law.

iii. The Content may include the image of the minor, which is considered personally identifying information. You must not include any additional identifying details relating to the minor beyond their first name and general location (e.g. town or city). To the best of your knowledge, the Content must not show school uniforms, house numbers, signage, or other identifiable features that could reasonably be used to determine the minor’s full name, home, school, or regular location.

i. Any Content which, to the reasonable knowledge of IMG or its representatives, contains identifying markers as described in clause 5.4 will not be eligible for use. You acknowledge that despite reasonable review procedures, IMG cannot guarantee that all such markers will be identified or excluded.

iv. You acknowledge and accept that all Content submitted will be subject to manual review by IMG or its representatives, and that submission does not guarantee inclusion in any Programme or other media.

v. For the purposes of these Terms and Conditions, “verifiable consent” means clearly recorded and auditable permission granted by a parent or legal guardian. This may include a tick-box confirmation during upload, direct submission by the parent, or a signed consent form as required.

PLP TERMS AND CONDITIONS – GREENFLY +ENGAGE

These Terms and Conditions shall constitute the terms of your delivery of data or information submitted by or on your behalf and any content to include videos and photos (“Content”) created by you and uploaded to the Greenfly +Engage Service (“Platform”) for inclusion by IMG Media Limited (“IMG”) in Premier League Football and/or Leagues OpCo Limited (a group company of Women's Super League Football Limited, "WSL") programming (“Programme”), which IMG proposes but does not undertake to broadcast, exhibit and/or otherwise exploit.

  1. You hereby irrevocably:

(i) agree and consent to provide the Content and to the Content being broadcasted – including but not limited to use on broadcast television, digital platforms, and social media channels – exhibited and/or otherwise exploited in the Programme;

(ii) agree that all intellectual property regarding the Content shall belong to IMG (for onwards assignment to The Football Association Premier League Limited (“FAPL”) and/or Women’s Professional Leagues Limited (“WSL”) where IMG deems necessary). To the extent that such intellectual property rights, title or interests shall or do not vest automatically in and with either IMG or FAPL or WSL, you irrevocably and with full title guarantee assign to IMG (for onwards assignment to FAPL and/or WSL where IMG deems necessary): (a) all such rights, title and interests including the entire copyright and all other proprietary rights, title and interests of any kind and nature whatsoever in the products of the Content; and (b) all such rights, title and interests including the entire copyright and all other proprietary rights, title and interests of any kind and nature whatsoever in the products of any future Content (by way of an assignment of future copyright pursuant to section 91(2) of the Copyright Designs & Patents Act 1988 (the “Act”)), in relation to all media (whether now known or hereafter becoming known), together with the right to take proceedings and recover damages and obtain all other remedies for past infringements in respect of them throughout the Universe for the full period of copyright (and of any other rights) and all revivals, renewals, extensions and novations of them thereafter (so far as possible) in perpetuity together with the right to exploit the same in any manner and through any media and in any territory as IMG or FAPL or WSL may, in its absolute discretion, decide;

(iii) hereby waive all Moral Rights (as defined in Chapter IV of Part I of the Act) in or in relation to the products of the Content as conferred by sections 77–84 of the Act and all other moral and author’s rights of a similar nature arising out of or conferred by similar legislation now or hereafter existing in any territory throughout the world;

(iv) grant IMG the right to reproduce your name and photograph by all means and in all media throughout the world and perpetuity for the purposes of advertising and publicity; and

(v) grant IMG the right to edit, copy, add to, take from, adapt or translate the Content as IMG sees fit and, in respect of the Content, you irrevocably waive the benefits of and agree not to assert any provision of law known as “moral rights” or any similar laws of any jurisdiction.

  1. You warrant and undertake to IMG that: (a) you are fully entitled to give the Content and all consents and grants listed above to IMG; (b) nothing in the Content (whether by way of inflection or gesture or otherwise) will infringe the copyright or any other right of any person, breach any contract or duty of confidence, constitute a contempt of court, be defamatory or be calculated to bring any broadcaster into disrepute; and (c) all facts expressed by you in the Content are, to the best of your knowledge and belief, true and insofar as the Content contains any opinions, these opinions are your own and are genuinely and truly held by you.

  2. This agreement may be freely assigned or licensed by IMG in full or in part. This agreement shall be governed by and construed in accordance with English law, and each party irrevocably agrees to submit to the exclusive jurisdiction of the English courts in respect of any claim, dispute or matter arising under this agreement.

  3. Any Content featuring a child or young person under the age of 18 must be submitted either by a parent or legal guardian, or by the child with verifiable parental or guardian consent.

i. Content must be submitted exclusively through the Greenfly platform. Submissions made through any other platform, including those operated by IMG, FAPL, WSL or the Premier League, are not permitted.

ii. Where Content features a minor, you confirm that:

(a) parental or guardian consent has been obtained before submission;

(b) the consenting adult has been informed of the purpose, intended usage, and duration of use of the Content; and

(c) the minor is legally permitted to appear on the Platform and in any resulting media under applicable law.

iii. The Content may include the image of the minor, which is considered personally identifying information. You must not include any additional identifying details relating to the minor beyond their first name and general location (e.g. town or city). To the best of your knowledge, the Content must not show school uniforms, house numbers, signage, or other identifiable features that could reasonably be used to determine the minor’s full name, home, school, or regular location.

i. Any Content which, to the reasonable knowledge of IMG or its representatives, contains identifying markers as described in clause 5.4 will not be eligible for use. You acknowledge that despite reasonable review procedures, IMG cannot guarantee that all such markers will be identified or excluded.

iv. You acknowledge and accept that all Content submitted will be subject to manual review by IMG or its representatives, and that submission does not guarantee inclusion in any Programme or other media.

v. For the purposes of these Terms and Conditions, “verifiable consent” means clearly recorded and auditable permission granted by a parent or legal guardian. This may include a tick-box confirmation during upload, direct submission by the parent, or a signed consent form as required.

PLP TERMS AND CONDITIONS – GREENFLY +ENGAGE

These Terms and Conditions shall constitute the terms of your delivery of data or information submitted by or on your behalf and any content to include videos and photos (“Content”) created by you and uploaded to the Greenfly +Engage Service (“Platform”) for inclusion by IMG Media Limited (“IMG”) in Premier League Football and/or Leagues OpCo Limited (a group company of Women's Super League Football Limited, "WSL") programming (“Programme”), which IMG proposes but does not undertake to broadcast, exhibit and/or otherwise exploit.

  1. You hereby irrevocably:

(i) agree and consent to provide the Content and to the Content being broadcasted – including but not limited to use on broadcast television, digital platforms, and social media channels – exhibited and/or otherwise exploited in the Programme;

(ii) agree that all intellectual property regarding the Content shall belong to IMG (for onwards assignment to The Football Association Premier League Limited (“FAPL”) and/or Women’s Professional Leagues Limited (“WSL”) where IMG deems necessary). To the extent that such intellectual property rights, title or interests shall or do not vest automatically in and with either IMG or FAPL or WSL, you irrevocably and with full title guarantee assign to IMG (for onwards assignment to FAPL and/or WSL where IMG deems necessary): (a) all such rights, title and interests including the entire copyright and all other proprietary rights, title and interests of any kind and nature whatsoever in the products of the Content; and (b) all such rights, title and interests including the entire copyright and all other proprietary rights, title and interests of any kind and nature whatsoever in the products of any future Content (by way of an assignment of future copyright pursuant to section 91(2) of the Copyright Designs & Patents Act 1988 (the “Act”)), in relation to all media (whether now known or hereafter becoming known), together with the right to take proceedings and recover damages and obtain all other remedies for past infringements in respect of them throughout the Universe for the full period of copyright (and of any other rights) and all revivals, renewals, extensions and novations of them thereafter (so far as possible) in perpetuity together with the right to exploit the same in any manner and through any media and in any territory as IMG or FAPL or WSL may, in its absolute discretion, decide;

(iii) hereby waive all Moral Rights (as defined in Chapter IV of Part I of the Act) in or in relation to the products of the Content as conferred by sections 77–84 of the Act and all other moral and author’s rights of a similar nature arising out of or conferred by similar legislation now or hereafter existing in any territory throughout the world;

(iv) grant IMG the right to reproduce your name and photograph by all means and in all media throughout the world and perpetuity for the purposes of advertising and publicity; and

(v) grant IMG the right to edit, copy, add to, take from, adapt or translate the Content as IMG sees fit and, in respect of the Content, you irrevocably waive the benefits of and agree not to assert any provision of law known as “moral rights” or any similar laws of any jurisdiction.

  1. You warrant and undertake to IMG that: (a) you are fully entitled to give the Content and all consents and grants listed above to IMG; (b) nothing in the Content (whether by way of inflection or gesture or otherwise) will infringe the copyright or any other right of any person, breach any contract or duty of confidence, constitute a contempt of court, be defamatory or be calculated to bring any broadcaster into disrepute; and (c) all facts expressed by you in the Content are, to the best of your knowledge and belief, true and insofar as the Content contains any opinions, these opinions are your own and are genuinely and truly held by you.

  2. This agreement may be freely assigned or licensed by IMG in full or in part. This agreement shall be governed by and construed in accordance with English law, and each party irrevocably agrees to submit to the exclusive jurisdiction of the English courts in respect of any claim, dispute or matter arising under this agreement.

  3. Any Content featuring a child or young person under the age of 18 must be submitted either by a parent or legal guardian, or by the child with verifiable parental or guardian consent.

i. Content must be submitted exclusively through the Greenfly platform. Submissions made through any other platform, including those operated by IMG, FAPL, WSL or the Premier League, are not permitted.

ii. Where Content features a minor, you confirm that:

(a) parental or guardian consent has been obtained before submission;

(b) the consenting adult has been informed of the purpose, intended usage, and duration of use of the Content; and

(c) the minor is legally permitted to appear on the Platform and in any resulting media under applicable law.

iii. The Content may include the image of the minor, which is considered personally identifying information. You must not include any additional identifying details relating to the minor beyond their first name and general location (e.g. town or city). To the best of your knowledge, the Content must not show school uniforms, house numbers, signage, or other identifiable features that could reasonably be used to determine the minor’s full name, home, school, or regular location.

i. Any Content which, to the reasonable knowledge of IMG or its representatives, contains identifying markers as described in clause 5.4 will not be eligible for use. You acknowledge that despite reasonable review procedures, IMG cannot guarantee that all such markers will be identified or excluded.

iv. You acknowledge and accept that all Content submitted will be subject to manual review by IMG or its representatives, and that submission does not guarantee inclusion in any Programme or other media.

v. For the purposes of these Terms and Conditions, “verifiable consent” means clearly recorded and auditable permission granted by a parent or legal guardian. This may include a tick-box confirmation during upload, direct submission by the parent, or a signed consent form as required.
